Supervisory Board
The members of the supervisory board of a German "Aktiengesellschaft" (joint-stock company) are elected by the Annual General Meeting, insofar as they are not appointed to the board in accordance with the company memorandum and articles of association or as staff representatives under the terms of the German Works Constitution Act, Co-Determination Act or Co-Determination Amendment Act. The supervisory board shall appoint the executive board as well as exercise controlling and supervisory functions. The memorandum and articles of association of joint-stock companies normally specify the individual business transactions that require the consent of the supervisory board or that of its chairman.
